These Terms of Service ("Terms") govern your use of Palate's mobile application and related services (collectively, the "Services") provided by Palate Inc. ("Palate," "we," "us," or "our"). By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services.
1. Agreement & Eligibility
By using Palate, you agree to these Terms. You must be at least 13 years old to use our Services. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
2. Beta Services
Certain features may be designated as pre-release or beta. These features are provided "as is," may contain errors, and may be modified, suspended, or discontinued at any time without notice or liability.
3. Your Content
You retain ownership of content you create on Palate. By posting content, you grant Palate Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and create derivative works from your content in connection with operating, developing, and improving our Services. This includes displaying your content to other users, using it to personalize features, and creating formats such as thumbnails or previews. This license ends when you delete your content from our Services, except that we may retain anonymized or aggregated insights derived from your content.
4. Acceptable Use
You agree to use Palate lawfully and respectfully. You may not: violate any applicable law or others' rights; post content that is harassing, threatening, hateful, sexually explicit, or fraudulent; impersonate any person or entity; use the Services to spam, solicit, or distribute malware; attempt to reverse-engineer, decompile, or extract source code from our Services; interfere with or disrupt the Services or their infrastructure; or create accounts through automated means. We reserve the right to remove content and suspend or terminate accounts that violate these standards, at our sole discretion and without prior notice.
5. Feedback
Any feedback, suggestions, or ideas you provide regarding our Services become the property of Palate Inc. and may be used without restriction or compensation.
6. Intellectual Property
Palate and its original content, features, functionality, algorithms, and technology are owned by Palate Inc. and protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.
7. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee the accuracy, completeness, or timeliness of any content, including restaurant information, photos, menus, pricing, allergen information, or recommendations sourced from third parties or generated by our Services. You acknowledge that dining decisions involve personal health and safety considerations and you are solely responsible for verifying relevant information.
8. AI-Powered Features
Certain features use artificial intelligence to provide dining suggestions and personalized content. AI-generated content is for informational purposes only and should not be relied upon as a substitute for your own judgment. We do not guarantee the accuracy, safety, or suitability of any AI-generated recommendation, including information about restaurants, menus, allergens, or dietary accommodations. You are solely responsible for verifying any information before making dining decisions, especially regarding food allergies or dietary restrictions.
9. In-Person Interactions
Palate may facilitate connections between users for dining and social purposes. We do not screen, verify, or perform background checks on users. You assume all risk associated with in-person interactions arranged through Palate. Palate is not responsible for the conduct of any user, whether online or offline. You agree to exercise your own judgment and take appropriate precautions when meeting others.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PALATE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
11. Indemnification
You agree to defend, indemnify, and hold harmless Palate Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: your use of the Services, your content, your violation of these Terms, your violation of any third-party rights, or your interactions with other users.
12. Copyright Policy
We respect intellectual property rights. If you believe content on Palate infringes your copyright, send a notice to connect@palate.tech containing: a description of the copyrighted work, identification of the infringing material and its location on our Services, your contact information, a statement that you have a good faith belief the use is not authorized, and a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner. We will remove or disable access to infringing material and may terminate accounts of repeat infringers.
13. Termination
Either party may terminate at any time. We may suspend or terminate your access immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users or us. Upon termination, your rights under these Terms cease immediately. Sections 3, 5, 6, 7, 8, 9, 10, 11, 14, and 15 survive termination.
14. Dispute Resolution
Any dispute arising from these Terms or your use of the Services will be resolved through binding individual arbitration under the Federal Arbitration Act, rather than in court, except that either party may bring claims in small claims court if eligible. There is no judge or jury in arbitration. You and Palate each waive the right to participate in a class action, class arbitration, or other representative proceeding. If this class action waiver is found unenforceable, the entire arbitration provision shall be void. To begin arbitration, send written notice to connect@palate.tech. The arbitration will be administered by a mutually agreed arbitrator, or if the parties cannot agree, by JAMS under its Streamlined Arbitration Rules.
15. General Provisions
Modifications: We may modify these Terms at any time. Material changes will be notified through the Services. Continued use constitutes acceptance.
Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Severability: If any provision is found unenforceable, the remaining provisions continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Palate Inc.
Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms.
